Terms of Service
These Terms of Service ("Terms") govern the use of Istari Content, a social media content creation and publishing platform available at contenu.istari-conseil.com (the "Service"), operated by JH Digital ("we", "us", "our") in partnership with Istari Conseil, an accounting and advisory firm operating in Paris, France and Lisbon, Portugal.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of the Service
Istari Content enables users to create, schedule, and publish content (videos, images, text) to their own social media accounts — including YouTube, Instagram, Facebook, and TikTok — from a single workspace, and to view performance analytics for that content. The Service interacts with social media platforms exclusively through their official APIs (YouTube Data API, Meta Graph API, TikTok Login Kit and Content Posting API), with the user's explicit authorization obtained via OAuth.
2. Accounts and eligibility
- The Service is intended for professional use. Accounts are provisioned by JH Digital and Istari Conseil for their clients and partners.
- You must be at least 16 years old and legally capable of entering into a contract.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3. Connected social media accounts
- You may only connect social media accounts that you own or that you are expressly authorized to manage.
- Content is always published to your own accounts, under the authorization you granted. You may revoke the Service's access at any time from each platform's security settings or by contacting us.
- Your use of each connected platform remains subject to that platform's own terms of service and community guidelines, including the YouTube Terms of Service, the Meta Terms of Service, and the TikTok Terms of Service.
4. Your content
- You retain all ownership rights in the content you create, upload, or publish through the Service.
- You grant us a limited, non-exclusive license to host, process, and transmit your content solely for the purpose of operating the Service (including publishing it to the platforms you designate).
- You are solely responsible for your content and warrant that it does not infringe any third-party rights (copyright, trademark, image rights, personal data) and complies with applicable law.
5. Acceptable use
You agree not to use the Service to:
- publish content that is unlawful, defamatory, hateful, misleading, or that infringes third-party rights;
- send spam, engage in artificial engagement schemes, or violate the rules of any connected platform;
- attempt to gain unauthorized access to the Service or its infrastructure, or disrupt its operation;
- resell or sublicense access to the Service without our written agreement.
We may suspend or terminate access in case of violation of these Terms.
6. Fees
Access to the Service is provided under the commercial terms agreed between you and JH Digital or Istari Conseil (as part of an advisory engagement or a subscription). Applicable fees, if any, are set out in your engagement letter or order form.
7. Availability and support
We strive to keep the Service available and secure, but it is provided "as is" and "as available". Scheduled publications depend on the availability and policies of third-party platform APIs, which are outside our control. Support is available at bonjour@istari-conseil.com.
8. Limitation of liability
To the maximum extent permitted by law, JH Digital shall not be liable for indirect or consequential damages (loss of profits, loss of audience, reputational harm) arising from the use of the Service, including failed or delayed publications caused by third-party platforms. Our total aggregate liability for any claim related to the Service shall not exceed the amounts paid by you for the Service during the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
9. Data protection
Personal data is processed in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR). Data is hosted in France (European Union).
10. Termination
You may stop using the Service and request closure of your account at any time. Upon termination, connected platform authorizations are revoked and your data is deleted in accordance with our Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Material changes will be notified to active users by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing law and jurisdiction
These Terms are governed by French law. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of Paris, France.
